OVERVIEW

These Terms of Service (“Terms”) apply to your access to and use of the Ready To Hang website and online store (the “Services”). The terms “RTH,” “Ready To Hang,” “we,” “us,” and “our” refer to Ready To Hang LLC. RTH is powered by Shopify, which enables us to provide the Services to you.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not use or access the Services.

Please read these Terms carefully. They include important information about your legal rights and address topics such as warranty disclaimers and limitations of liability.

SECTION 1 - ACCESS AND ACCOUNT

By using the Services, you represent that you are at least the age of majority in your state or province of residence, and that you have given consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including browsing our online store or purchasing products, you may be asked to provide certain information, such as your email address and billing, payment, and shipping information. You represent and warrant that the information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to display products and services accurately in our online store. However, colors and appearance may vary depending on your device and settings.

We do not warrant that the appearance or quality of any product or service purchased by you will meet your expectations or will match what is displayed on your screen.

All product descriptions are subject to change at any time without notice, in our sole discretion. We reserve the right to discontinue any product at any time, and may limit quantities offered to any person, geographic region, or jurisdiction on a case-by-case basis.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. RTH reserves the right to accept or decline any order for any reason in its discretion. Your order is not accepted until RTH confirms acceptance and we receive and process your payment.

Please review your order carefully before submitting. RTH may be unable to accommodate cancellation requests once an order has shipped from our warehouse. If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, and/or phone number provided at checkout.

Purchases are subject to return only in accordance with our Returns Policy.

You represent and warrant that purchases are for your personal or household use, and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed and will be reflected in your order confirmation.

Unless expressly stated otherwise, prices do not include taxes, shipping, handling, customs, or import charges.

Prices in our online store may differ from prices offered by third parties. From time to time, we may offer promotions governed by separate terms; if those terms conflict with these Terms, the promotion terms will govern.

You agree to provide current, complete, and accurate purchase, payment, and account information and to promptly update your information so that we can complete transactions and contact you as needed.

You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method provided; (iii) charges incurred will be honored by your payment provider; and (iv) you will pay charges incurred at posted prices, including shipping and handling and applicable taxes.

SECTION 5 - SHIPPING AND DELIVERY

Delivery dates are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, or events outside our control.

Once we transfer products to the carrier, title and risk of loss pass to you.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and all content made available through the Services, including trademarks, branding, text, images, graphics, video, audio, and the selection and arrangement thereof, are owned by RTH, its affiliates, or licensors and are protected by U.S. and foreign intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent.

Except as expressly provided, nothing in these Terms grants you any license or rights under any intellectual property of RTH, Shopify, or any third party. All rights not expressly granted are reserved.

RTH’s names, logos, product and service names, designs, and slogans are trademarks of RTH or its affiliates or licensors. Shopify’s name and marks are trademarks of Shopify. All other names and marks are the property of their respective owners.

SECTION 7 - OPTIONAL TOOLS

The Services may provide access to third-party tools that we do not monitor and over which we have no control or input.

You acknowledge and agree that access to such tools is provided “as is” and “as available,” without warranties, representations, or conditions of any kind and without endorsement. We are not liable for any issues arising from your use of optional third-party tools.

SECTION 8 - THIRD-PARTY LINKS

The Services may include content or links to third-party websites or functionality. We are not responsible for the content, accuracy, or practices of third parties. If you access third-party sites, you do so at your own risk.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

RTH is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with RTH. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and RTH, including any injury, damage, or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with RTH.

SECTION 10 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services. Information you submit to the Services may be transmitted to and shared with Shopify and third parties in other countries in order to provide services to you. Review our Privacy Policy for details.

SECTION 11 - FEEDBACK

If you submit ideas, suggestions, feedback, reviews, proposals, plans, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that you own or have all necessary rights to the Feedback and that it complies with these Terms.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Information on the Services may contain errors, inaccuracies, or omissions, including regarding product descriptions, pricing, promotions, shipping charges, transit times, and availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you submit your order).

You may use the Services for lawful purposes only. You may not use the Services to violate laws, infringe intellectual property rights, transmit malicious code, scrape or misuse data, impersonate others, or engage in conduct that harms RTH, Shopify, or other users, or interferes with the security or operation of the Services. We reserve the right to suspend or terminate access if we determine you have violated these Terms.

SECTION 14 - TERMINATION

We may terminate your access to the Services in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

Sections that by their nature should survive termination will survive, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver/Entire Agreement, Assignment, Governing Law, and Privacy.

SECTION 15 - DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED BY RTH, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

SECTION 16 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RTH OR SHOPIFY (OR THEIR RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SECTION 17 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless RTH, Shopify, and their affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your violation of law, or your access to or use of the Services.

SECTION 18 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.

SECTION 19 - WAIVER; ENTIRE AGREEMENT

No waiver by us of any term will be deemed a further or continuing waiver. These Terms and any policies referenced herein constitute the entire agreement between you and us regarding the Services.

SECTION 20 - ASSIGNMENT

You may not assign these Terms without our prior written consent. We may assign these Terms without notice.

SECTION 21 - GOVERNING LAW

These Terms and any separate agreements whereby we provide Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles.

SECTION 22 - HEADINGS

Headings are included for convenience only and do not affect interpretation.

SECTION 23 - CHANGES TO TERMS OF SERVICE

We reserve the right to update or replace any part of these Terms by posting changes on our website. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
